JDS FILINGS LLC — SERVICE AGREEMENT

Effective Date: May 14, 2026

This Service Agreement ("Agreement") is entered into between JDS Filings LLC ("JDSF"), a Texas limited liability company, and the undersigned company or individual ("Client").

1. REGISTERED AGENT SERVICES

JDSF agrees to initiate and maintain a registered agent account for the Client in the state(s) designated during the order process. As part of this service, JDSF will receive service of process and official state correspondence on behalf of the Client at the registered agent address on file, and will forward such correspondence to the Client via email within one (1) business day of receipt.

2. FILING SERVICES

Where selected, JDSF will prepare and submit business formation documents (e.g., Articles of Organization, Certificate of Formation) and other filings to the applicable state agency on behalf of the Client. JDSF acts solely as a filing agent and does not provide legal, tax, or financial advice. All information submitted is based on data provided by the Client, and JDSF is not liable for errors or omissions in the Client's submissions.

3. SCOPE LIMITATION

JDSF does not prepare legal documents, render tax advice, or provide professional counsel of any kind unless the specific service is expressly listed in the order summary or an attached exhibit. Any services not explicitly included in this Agreement or the related order are outside the scope of representation.

4. FEES AND PAYMENT

The Client agrees to pay all fees as outlined during the checkout process, including JDSF service fees and applicable state filing fees. All payments are due at the time of order. Registered Agent Service fees are billed according to the schedule disclosed at checkout and auto-renew at the end of each service term unless cancelled.

5. REFUND AND CANCELLATION POLICY

JDSF service fees are refundable if requested before filing documents are submitted to the state. Once documents have been filed, service fees are non-refundable. State filing fees are non-refundable regardless of timing, as they are remitted directly to the state. On termination of this Agreement by either party, no refund of previously paid service fees shall be due.

6. TERMINATION

Either party may terminate this Agreement at any time with written notice. JDSF reserves the right to terminate this Agreement immediately if the Client breaches any term herein, provides false information, or fails to pay applicable fees. Upon termination, JDSF's obligations under this Agreement shall cease, and the Client shall remain responsible for any outstanding fees.

7. PROCESSING TIMES

Processing and approval times vary by state and are outside the control of JDSF. Estimated timelines provided are based on typical state processing periods and are not guarantees. JDSF is not responsible for delays caused by state agencies, government backlogs, or incomplete information provided by the Client.

8. DISCLAIMER OF WARRANTIES

All services are provided on an "as-is" basis. JDSF makes no express or implied warranties regarding the outcome of any filing, the accuracy of state processing timelines, or the suitability of any entity structure for the Client's purposes. JDSF expressly disclaims any warranty of merchantability or fitness for a particular purpose.

9. LIMITATION OF LIABILITY

In no event shall JDSF be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with this Agreement, regardless of the theory of liability. JDSF's total aggregate liability shall not exceed the total service fees paid by the Client for the specific order giving rise to the claim. JDSF shall not be liable for any loss, penalty, or consequence resulting from the Client's improper filings, failure to maintain compliance, or reliance on JDSF's services as a substitute for professional legal or tax advice.

10. CLIENT RESPONSIBILITIES

The Client agrees to provide accurate, truthful, and complete information as required for the services ordered. The Client understands that any errors, omissions, or misrepresentations in the information provided may result in delays, rejection of filings, or other complications for which JDSF shall not be held responsible. The Client is solely responsible for ensuring ongoing compliance with state and federal requirements after formation.

11. PRIVACY AND DATA HANDLING

JDSF will handle the Client's personal information in accordance with our Privacy Policy. We will not sell or share personal information with unaffiliated third parties except as necessary to fulfill the services described herein or as required by law. The Client consents to the electronic storage and transmission of their data in connection with the services provided.

12. ELECTRONIC SIGNATURE

The Client agrees that typing their full legal name in the signature field below constitutes a valid electronic signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Uniform Electronic Transactions Act (UETA), and carries the same legal force and effect as a handwritten signature.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts in Travis County, Texas.

14. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings, negotiations, and representations. JDSF reserves the right to update this Agreement; the version in effect at the time of the Client's order shall govern that transaction.
