1. Acceptance of Terms
By accessing or using the JDS Filings LLC website and services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you and JDS Filings LLC (“JDS Filings,” “we,” “us,” or “our”). We reserve the right to update or modify these Terms at any time, and your continued use of the Services following any changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically for updates.
2. Services Description
JDS Filings LLC is a document filing service that assists individuals and businesses with the preparation and submission of business formation documents, annual reports, and other compliance-related filings. JDS Filings is not a law firm and does not provide legal advice. Our services are limited to preparing and filing documents based on information you provide. We do not offer legal opinions, tax advice, or accounting services. If you require legal counsel, we recommend consulting with a licensed attorney in your jurisdiction. Our role is to act as an authorized filing agent and document preparation service on your behalf.
3. Pricing and Payment
All prices for our services are displayed on our website and are subject to change without prior notice. Prices include our service fee but may not include state filing fees, government fees, or other third-party charges, which are clearly itemized during checkout. Payment is required in full at the time of order. We accept major credit cards and other payment methods as indicated on our website. By placing an order, you authorize JDS Filings to charge the total amount to your selected payment method. All fees are quoted in U.S. dollars.
4. Refund Policy
If you request a cancellation before your documents have been submitted to the state or relevant government agency, you are eligible for a full refund of our service fee. Once documents have been submitted, our service fee is non-refundable, as the work has been completed. State filing fees and government fees are non-refundable under all circumstances, as these payments are made directly to government agencies on your behalf. If a filing is rejected by the state due to an error on our part, we will correct and resubmit the filing at no additional charge. Refund requests should be directed to contact@jdsfilings.com.
5. Accuracy of Information
You are responsible for providing accurate, complete, and up-to-date information when placing an order or using our Services. JDS Filings prepares and files documents based solely on the information you provide. We are not responsible for errors, delays, or rejections that result from inaccurate or incomplete information supplied by you. If you discover an error in the information you have submitted, please contact us immediately so we can attempt to correct it before the filing is processed. Additional fees may apply for amendments or corrections required after a filing has been submitted.
6. Limitation of Liability
To the fullest extent permitted by applicable law, JDS Filings LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services. Our total liability to you for any claim arising from the Services shall not exceed the total amount you paid to JDS Filings for the specific service giving rise to the claim. This limitation applies regardless of the legal theory upon which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
7. Governing Law
These Terms of Service and any disputes arising out of or related to the Services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of such courts. Any claim or cause of action you may have with respect to the Services must be commenced within one (1) year after the claim or cause of action arises, or it shall be permanently barred.
